Terms of Service

This Terms of Service ("Agreement") is between you ("you" or "your") and Spreadsheet Agent ("Company," "we," "us," or "our"). By accessing or using Spreadsheet Agent's website, app, or related services ("Services"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.

1. Description of Services

Spreadsheet Agent automates data entry, extraction, and enrichment for spreadsheets using AI and integrations (such as Google Sheets, Google Drive, and OpenAI). We provide web tools, templates, and custom automation services for business and personal use.

2. Eligibility & User Responsibilities

• You must be at least 13 years old and have capacity to contract. If under 18, you must have a parent's or guardian's consent.
• You are responsible for all activity under your account.
• You must keep login credentials secure and notify us immediately of unauthorized use.

3. User Content & Data Ownership

• Your Data Stays Yours: All data you add to Google Sheets or Drive via Spreadsheet Agent remains your property.
• Our Processing: We process your data only to provide Services. We do not retain spreadsheet content, file uploads, or agent outputs longer than required for the processing session.
• User-Generated Content: By submitting content or feedback, you grant us a worldwide, royalty-free license to use it for improving the Services.
• Custom Agents: Custom workflow logic or agents may be reused in anonymized, generalized form unless otherwise agreed by contract.

4. Not Responsible for User-Generated Content

Users may post information on or about our Services. We do not verify or confirm the accuracy or quality of any third-party content posted on or about our Services, and we are not responsible for any third-party content. Users are responsible for performing their own investigation of any such user-generated content and hereby waive any claims related to such content, for any reason.

5. Integrations & Third-Party Services

• Spreadsheet Agent integrates with external services (e.g., Google, OpenAI).
• By connecting, you authorize us to access and process data via those services.
• You must comply with their terms and are responsible for your account security.

6. Payments, Billing & Refunds

• Pricing: Fees are posted at signup or in a custom order form.
• Billing: Payments are handled by third-party processors (e.g., Stripe). You're responsible for payment issues.
• Taxes: You're responsible for any sales/use/VAT taxes (except our income tax).
• Refunds: Subscriptions can be canceled anytime, but we do not issue refunds except as required by law or if the service is discontinued (pro-rated as appropriate).

7. Prohibited Conduct

You agree not to:

• Violate any law, regulation, or third-party right (including IP, privacy, or export laws).
• Use the Service for prohibited purposes (debt collection, credit checks, intelligence agency analysis, government background checks, or any illegal or discriminatory purposes).
• Reverse engineer, copy, resell, or create derivative works from our Service or code.
• Attempt to access another user's data or accounts without permission.
• Interfere with, damage, or disrupt our Service, servers, or networks.

8. Intellectual Property

• Company IP: All rights to the Spreadsheet Agent platform, templates, and code are owned by us or our licensors.
• User License: We grant you a limited, revocable, non-transferable license to use the Services as intended.
• Feedback: Any feedback or suggestions become our property without further compensation.

9. Disclaimers & Limitation of Liability

• No Warranty: Services are provided "as is" and "as available." We make no guarantees of uptime, fitness for purpose, or accuracy.
• No Endorsement: We are not responsible for third-party sites, tools, or content accessed through our Service.
• Limitation: To the maximum extent permitted by law, our liability is limited to fees paid by you in the last six months. We are not liable for indirect, incidental, or consequential damages.
• Indemnification: You agree to defend and indemnify us against any third-party claim resulting from your misuse of the Services or violation of these Terms.

10. Termination

• We may suspend or terminate your access for violating these Terms, misuse, or legal reasons.
• You may stop using the Service at any time.
• Upon termination, your data in Google Sheets/Drive remains yours; your right to use the Service ends.

11. Privacy, GDPR & CCPA

• Our Privacy Policy explains what data we collect, how we use it, and your rights.
• If you are an EU resident, you have rights under GDPR (access, correction, deletion, portability, restriction, objection, and complaint).
• If you are a California resident, you have rights under CCPA/CPRA (know, access, delete, opt-out, non-discrimination).

12. DMCA/Copyright

If you believe your copyright has been infringed, contact us at luke@spreadsheetagent.com and we will investigate promptly.

13. Changes & Notices

• We may update these Terms with notice (e.g., email, in-app, or website). Continued use constitutes acceptance.
• Material changes will be highlighted at the top of the policy.

14. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Delaware, USA.
• Disputes will be resolved in the courts of Delaware.
• Class Action Waiver: Claims may only be brought individually, not as part of a class action.

15. General Provisions

• Severability: If any provision is invalid, the rest remain in effect.
• Assignment: You may not assign this agreement; we may assign if our business is sold/merged.
• Entire Agreement: These Terms and the Privacy Policy are the entire agreement between us.
