End User License Agreement (EULA)

This EULA is a binding agreement between you ("User" or "you") and Spreadsheet Agent ("Licensor," "we," "us," "our"). It grants you a license to use our software and services. By clicking "I Agree" or using the software, you accept these terms.

1. License Grant

• We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Spreadsheet Agent's software and services, subject to this EULA.
• You may use the software only as expressly permitted—e.g., to automate spreadsheet data via Google Sheets and OpenAI integrations.
• You may not copy, modify, distribute, reverse engineer, rent, lease, sell, sublicense, or create derivative works based on our software.

2. Ownership

• We own everything: The software, all content, designs, code, and materials are our exclusive property (or our licensors').
• You own your data: Anything you upload—spreadsheets, documents, feedback—remains yours. We only process it to deliver the service.

3. User Responsibilities & Restrictions

You agree to:

• Use the licensed software legally and responsibly.
• Keep your credentials secure and notify us of any unauthorized access.
• Refrain from misuse—no infringement, unlawful or harmful actions, spamming, unsolicited data collection, intelligence‑agency or credit‑check usage, or any conduct violating laws, including GDPR/CCPA provisions. Prohibited activities include using the software for debt collection, background checks, etc., as detailed in our Terms of Service.

4. User-Generated Content

• You retain ownership of any content you upload.
• You grant us a worldwide, royalty-free license to use, host, store, reproduce, modify, publish, translate, and distribute your content and feedback to provide, improve, and promote the service.
• We aren't responsible for the accuracy, legality, or quality of user-generated content and disclaim any liability. Users waive claims related to such content.

5. Privacy, GDPR & CCPA Compliance

• Your use of data publicly remains governed by our Privacy Policy, with obligations under GDPR (EU rights) and CCPA/CPRA (California rights).
• EULA participants must accept Terms of Service and Privacy Policy, including rights to access, delete, and restrict processing.

6. Payment & Fees

• Use of paid features requires subscription to our Terms and billing via Stripe.
• All payments are non-refundable unless required by law or prorated service termination.

7. Warranty Disclaimer & Limitation of Liability

• Provided "as is", without warranties of any kind (title, merchantability, fitness, non-infringement).
• We disclaim liability for any indirect, incidental, special, or consequential damages.
• Our total liability is capped at the amounts you have paid us in the preceding six months.

8. Termination

• We may terminate or suspend your license for EULA breaches or illegal actions.
• You can terminate by discontinuing use.
• After termination, your license ends, but your data remains your property—you can export or transfer it from your Google Sheets or Drive.

9. Updates & Maintenance

• We may provide software updates or patches, which will be subject to this EULA.
• You are free to accept or decline updates—but continued use after an update means acceptance of the updated EULA.

10. Governing Law & Dispute Resolution

• This EULA is governed by the laws of Delaware, USA.
• Disputes must be resolved in courts of Delaware.
• Users agree to resolve disputes individually (no class actions).

11. Miscellaneous

• Severability: If part of this EULA is invalid, the rest remains effective.
• Assignment: You cannot assign your rights. We may assign ours (e.g. in a merger).
• Entire Agreement: This EULA, together with the Terms of Service and Privacy Policy, is the complete agreement.

12. Acceptance ("Clickwrap" Consent)

By clicking "I Agree" or installing or using the software, you confirm that you have read, understand, and accept this EULA. If you do not agree with any of these terms, do not use the software.
